Program Description

Corporate America and global capital markets are in the midst of major changes. In this process, the role of the lawyer has expanded. The major accounting scandals of Enron and WorldCom and more recent collapses of Bear Stearns and Lehman have created a loss of confidence in financial experts. As such, corporations are turning their attention to their in house and outside counsel for guidance on financial matters. This course equips lawyers with the basic tools of finance in order to meet the mounting demands of their jobs in the new millennium.

Day 1 is designed to give lawyers a one day overview of accounting techniques, their relevance, and problems associated with each. The concepts cover both US (US GAAP) as well as European (IFRS) accounting standards which are expected to converge over the next several years. With issues related to corporate finance becoming more relevant today than ever, the role a lawyer plays in structuring transactions, negotiating deal terms, and coordinating the underwriting process is becoming increasingly important.

Day 2 is aimed at better equipping lawyers with the financial tools to understand and apply the more quantitative aspects of mergers and acquisitions and corporate valuation.
